Taylor Wimpey has established the “Los Arqueros Golf and Country Club, S.A.”, a limited company by shares which now owns the Golf Course of Los Arqueros, the club house, and the rest of the facilities. A Club, “Los Arqueros Golf & Country Club”, has also been established to manage the use of these facilities.

The sale of the share capital of “Los Arqueros Golf and Country Club, S.A.”, which is composed of 1,500 shares.

By buying a share you will be a member of the Club “Los Arqueros Golf & Country Club”. Your spouse or children can also become members of the Club by paying the appropriate fees.

What are the benefits of becoming a shareholder of ‘Los Arqueros Golf & Country Club S.A.?

    The value of your home with an associated share ownership will be enhanced compared to properties that do not benefit from the privileged access to the Golf Course and the rest of facilities.

Is ‘Los Arqueros Golf & Country Club’ a financially viable business?

The club has maintained a positive EBITDA (Earnings Before Interest, Taxes, Depreciation and Amortization) in the previous years. The Club expects to attain ‘break-even’.The Sports Club is a non-profit organization composed of the shareholders of the Company. The Club’s Internal Regulations will govern its operations and relations between members.Copies of these are available to any interested investors.

If I am a shareholder and there are profits, do I receive a dividend?

Maintenance fees shall be established in order to ensure an adequate maintenance budget and financial balance in the club’s operations.Any financial surplus would either be applied to the maintenance of the club, or if appropriate, to the reduction of maintenance fees.

How can I buy my share?

There are various ways to buy a share of ‘Los Arqueros golf & Country Club S.A. You can contact our sales office on +34 952 92 02 92. They can answer any questions that you may have and help you acquire your share. Alternatively, you can visit our sales office personally at Los Arqueros.

How will share ownership be transferred?

The transfer of shares to a third party shall be subject to the offer and the demand of the said shares, in terms of price, and to the acceptance of the new title holder on the part of the Admission Committee of New Members established by the Club (i.e. by the existing shareholders themselves).

What arrangements are there for shareholders’ children?

Children below the age of 21 shall be able to enjoy the rights of the family share. In the event of transferring a share to the children of the shareholder or their spouse, neither the cost previously indicated nor the denial of ownership on the part of the Admission Committee of New Members shall be applicable.

Sales procedures

The shares are acquired through private contract at the agreed price.A deposit of 600 euros should be made in advance in order to reserve your share. Payment in cash will not be accepted, only deposits made in Banca March and/or bank cheques or transfer or by credit card shall be acceptable. As outlined previously, there are financing options which have been agreed with the Banca March.

How many members do we have?

The Company shall have a maximum of 1,500 shareholders.

How does the shareholders meeting work?

The important decisions in the Company shall be made by majority agreement amongst the members present in the Shareholders Meeting, sovereign organ of the Company.This meeting shall be held by law, once a year. All nominal title holders of shares have the right to attend the meeting. Each share provides the right to a vote.

Is the Restaurant also property of the shareholders?

Yes, the club and its shareholders will benefit from a monthly rental income from it.

How much will the green fee cost if I am not a member?

If you are not a member, the green fee will not be discounted.

Statutes? Are there Internal Regulations?

The company has statutes which regulate its operations.

Responsibility of the company? Solvency and responding entity

The company is constituted as a limited company of shares and therefore, limits the personal responsibility of its members exclusively to the nominal value of its shares. The company is constituted with complete solvency, owner of the Club assets (golf courses, Club House, Sporting facilities, etc.). The maintenance fees of the members are a regular source of income for the Club, which, in certain circumstances, would also allow loans to be obtained in order to deal with unforeseen expenses. Nonetheless, given the state of maintenance of the Club and the investments undertaken recently by Taylor Woodrow, we do not expect that any significant investments will need to be made in the near future which will require contributions from members.

Who are the administrators?

The administrators of the Company are elected by the shareholders in the General Meeting as per the statutes. Given that, in principle, Taylor Woodrow holds the majority of the shares in the company, during the said period of property transfer, the Company shall name the administrators whilst they maintain this position.

When Can I begin to play?

The acquisition of a share and the payment of a maintenance fee give the right to play immediately.

How many times a day can I go out to play golf?

There are no restrictions to the use of the golf course other than the logic of good functioning, management and good relations between its users.

Are there classes and teachers? Courses?

There are teachers and courses at the disposal of members and users of the Club.

Is the cost of practice balls included?

No.

Do I have preference when playing?

Members shall have preferred tee times.

Can I take a guest who is not a member? What would it cost me?

You can take a guest into the Members Lounge. Guests’ green fees playing together with a member will be discounted by 30%.

Can I organize parties in the member area?

Specific rules regulate the private use of the Club House facilities and are subject to availability.

What is the member profile like?

The average profile of a Club member is as follows:

Admission criteria for members

In case of resale, admission has to be accepted by the rest of the members delegated before the Acceptance Committee of New Members.
